Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Velasco Web Studio ("we", "us", or "our"). By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree, do not use our website or services.

Scope of Services

We provide web design, development, hosting consultation, digital strategy, and related services as specified in written proposals, statements of work, or invoices accepted by you. Any timelines are good‑faith estimates and may change based on your responsiveness and project complexity.

Client Responsibilities

• Provide timely access to content, assets, and stakeholders.
• Ensure that all supplied content does not infringe third‑party rights.
• Review and approve deliverables in a timely manner.

Fees & Payment

Fees are outlined in your proposal or invoice. Unless otherwise stated, invoices are due upon receipt. Late payments may incur a late fee or project pause. Deposits/retainers are non‑refundable once work begins.

Subscription Plans & Billing

Our website and marketing plans (such as Essentials Website, Local Growth, and Brand Builder) are billed as recurring subscriptions, monthly or annually, as selected at signup.

• Free trial. Plans begin with a 14‑day free trial unless stated otherwise. Nothing is charged during the trial, and you may cancel during the trial and owe nothing.
• Monthly plans renew each month. You may cancel anytime, and cancellation takes effect at the end of the current billing period.
• Annual plans are billed once for the full year at a discounted rate. Because design and build work is completed up front and the annual rate is discounted in exchange for the full‑year commitment, annual payments are not refundable once billed. If you cancel an annual plan mid‑term, your service continues through the end of the paid year and the plan simply does not renew.
• Renewal. Plans renew automatically. For annual plans, we email a renewal reminder approximately 30 days before the renewal charge. Renewal rates will not increase without at least 30 days' notice.
• Setup fees, where applicable, are one‑time charges and are non‑refundable once work begins.
• Cancellation can be requested anytime by emailing info@velascowebstudio.com.
• Site handover. If your plan ends, we will provide your website content, files, and supporting documentation on request so another qualified developer can host and manage your site.

Intellectual Property

Upon full payment, the final deliverables belong to you. We retain ownership of our pre‑existing materials, tools, frameworks, and non‑exclusive know‑how used in your project.

Third‑party assets (fonts, stock media, libraries) remain subject to their respective licenses.

Warranties & Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee specific results such as rankings, conversions, or revenue.

Limitation of Liability

To the maximum extent permitted by law, Velasco Web Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data, arising from or related to your use of our services. Our total liability shall not exceed the amount paid by you for the specific services giving rise to the claim in the 3 months preceding the event.

Indemnification

You agree to defend, indemnify, and hold harmless Velasco Web Studio and its personnel from any claims, damages, liabilities, costs, and expenses arising from your content, misuse of the services, or breach of these Terms.

Termination

Either party may terminate a project for material breach if not cured within 10 days of written notice. You are responsible for payment for work completed up to the termination date.

Governing Law & Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Bay County, Florida.

Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a new "Last updated" date. Your continued use of our services after changes become effective constitutes acceptance of the revised Terms.
